1. Overview

These Terms of Service ("Terms") govern your access to and use of the Ruptive Labs website (ruptivelabs.com), the client portal, and the product development services we provide. Ruptive Labs is an R&D and product development department under Kuwait Innovation Center.

By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, you may not access or use our website or services.

These Terms apply to all visitors and clients unless separate written agreements are executed for a specific engagement, in which case the executed agreement takes precedence for the matters it covers.

2. Definitions

• "Ruptive Labs," "we," "us," or "our" refers to Ruptive Labs, an R&D and product development department under Kuwait Innovation Center.
• "Client," "you," or "user" refers to any individual or entity accessing or using our website or services.
• "Services" refers to the product development services we offer, including conceptual design, proof of concept, engineering design, design for manufacturing, manufacturing & production, and related consulting.
• "Deliverables" refers to the physical prototypes, designs, documentation, files, and other outputs we produce for a client.
• "Client Portal" refers to the secure online platform we provide for project management, file exchange, messaging, and payments.

3. Use of Our Website and Services

You may use our website and services only for lawful purposes and in accordance with these Terms. You agree to:

• Provide accurate, current, and complete information when creating an account or submitting a request.
• Maintain the security of your account credentials and not share them with unauthorized parties.
• Use the client portal only to access projects and information you are authorized to access.
• Not attempt to gain unauthorized access to any part of our systems, data, or another user's information.
• Not use our services to infringe any intellectual property or other rights of any party.
• Not interfere with or disrupt the operation of our website, portal, or servers.
• Not use automated tools to scrape, harvest, or extract data from our website without our written consent.

New client accounts require admin approval before portal access is granted. We reserve the right to approve, reject, suspend, or terminate accounts at our discretion.

4. Engagement of Services

Engagement of specific services (proof of concept, prototype, DFM, manufacturing, etc.) is governed by a separate written proposal, statement of work, or agreement that defines scope, milestones, deliverables, pricing, and timelines. These Terms supplement and do not override any executed engagement agreement.

Any proposals or estimates provided are based on the information available at the time and may be revised if requirements change or new information emerges during the project.

5. Fees and Payment

Fees for services are specified in the applicable engagement agreement or invoice. Unless otherwise stated:

• All amounts are quoted in Kuwaiti Dinar (KWD).
• Invoices are payable within the terms stated on each invoice.
• Late payments may accrue charges or result in suspension of services.
• Custom manufacturing, tooling, and third-party costs are billed separately and are not refundable once committed.

We reserve the right to adjust fees for future engagements. Fees already agreed in an executed engagement agreement will not change without your written consent.

Both parties agree to keep confidential any non-public information shared during an engagement, including technical designs, business plans, and pricing. Confidentiality obligations survive the end of an engagement and will be governed by any separate non-disclosure agreement executed between the parties.

8. Warranties and Disclaimers

We provide our services using reasonable skill and care consistent with industry standards. To the extent permitted by law, we disclaim all other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Manufacturing and production outcomes depend on factors beyond our control, including material tolerances and third-party supply. We do not guarantee that a prototype or product will achieve mass-market success or any specific commercial result.

Our website is provided on an "as is" and "as available" basis. We do not warrant that the website or client portal will be uninterrupted, error-free, or secure at all times.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ruptive Labs be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of our website or services.

Our total aggregate liability arising out of or relating to these Terms or any engagement shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

You agree to indemnify and hold harmless Ruptive Labs and Kuwait Innovation Center from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your infringement of third-party rights.

11. Termination and Suspension

We may suspend or terminate your access to the website or client portal if you breach these Terms, if your account remains unapproved, or to protect the security of our systems.

You may stop using our services at any time, subject to the terms of any executed engagement agreement.

Upon termination, provisions concerning intellectual property, confidentiality, liability, and these Terms' survival shall remain in effect.

12. Third-Party Links and Services

Our website may contain links to third-party websites or integrate with third-party services (such as payment providers and cloud infrastructure). We are not responsible for the content, privacy practices, or performance of third-party sites and services. Your use of third-party services is governed by their own terms and policies.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Kuwait. Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation.

If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts in Kuwait.

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Material changes will be communicated to active clients where practicable. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
